Job Description:

Are you Company Secretary seeking a fresh challenge, have an interest or already work within Financial Services or more specifically within Asset Management one Scotland's fastest growing sectors? We have a fabulous opening for a Head of Corporate Secretarial and Governance Services to work within a highly respected and market leading asset manager based in Edinburgh which is at the forefront of their specialism.

The role has come around due to increased workloads, new processes arising from business growth and development and the impact of recent and incoming regulations. Reporting into the Company Secretary, you will oversee the delivery of Corporate Secretarial & Governance Services to the clients Subsidiary and Associated Entities. You will also oversee, maintain and develop related governance documentation support services and processes. Further you will provide cover for the Head of Partnership Secretarial and Governance Services and support the Company Secretary as required.

Core Responsibilities:

  • Oversight of corporate secretarial and governance services
  • Organisation and administration of Board and Committee Meetings
  • Filing, indexing and safe-keeping of all Board and Committee Minutes and subsidiary companies statutory books
  • Administrative, advisory and governance support to Board Chairs, Directors, Company Secretaries, Finance Officers and other officers or committee members.
  • Ensure reporting arrangements within the Group are maintained and developed as required for business and regulatory changes
  • Provision of impact analysis in relation to regulatory, legal and business development changes.
  • Preparation, facilitation or provision of Board and Officer and senior manager corporate and governance training as required (e.g. on appointment / following significant changes in regulation or structure etc.)
  • Governance Documentation Oversight, Maintenance & Development
  • Oversee change control and development of governance related documentation including review of annual governance packs and live equivalents, ensuring sign off by appropriate areas and timely delivery to the boards
  • Oversee and manage changes to live on-line governance and corporate information sites
  • Own and review Governance related documentation ('GDG') events and impacts matrix
  • Act as a liaison person for governance and governance documentation queries from the business
  • Line Management responsibility for the Corporate Secretarial and Governance Services team within the Company Secretarial & Governance Services wider area
  • Provision of banking account administration services per entity
  • Project management / specialist support during corporate structure / business changes, including acting as a key project team member in governance related projects
  • Provide cover for the Head of Partnership Secretarial and Governance Services as required
  • Provide cover for and support to the Company Secretary as required

Core Requirements:

  • Professional qualification in Legal, Accounting and / or Company Secretarial
  • Relevant experience in a Legal, Company Secretarial or Governance Compliance / Advisory / Consultant role
  • Experience of private company governance service provision
  • Good technical understanding of the UK regulatory regime
  • Ideally experience of working within a private company in Financial Services
  • Highly beneficial ICSA qualification
  • Helpful to have an understanding of the Investment Management industry
  • Very useful but not essential to have experience in navigating periods of regulatory change in governance e.g. under MiFID II or SM&CR for banks / PRA-designated investment firms
