We are working with a wonderful boutique financial services organisation on a newly created role that is a key position within the business. They are seeking a Company Secretary to provide Company Secretarial Services to the business and to drive the development of this function.

The business has grown to a scale where the time is right to add a dedicated Company Secretary due to the increased governance requirements and up and coming regulations. This new role is designed to help meet increased workloads, documentation requirements and new processes arising from business growth, development and recent and incoming regulations. This is a great chance to shape the function and see the genuine impact of your hard work and efforts.

Core responsibilities:

  • Organisation and administration of Board and Committee Meetings including Minuting where required.
  • Filing, indexing and safe-keeping of all Board and Committee Minutes
  • Administrative, advisory and governance support to Board Chairs, Directors, Finance and other officers or committee members
  • Maintenance, and appropriate internal communication of, knowledge and understanding of the impact of existing and proposed regulatory & legal requirements, or other external or internal factors, on the corporate structures or personal obligations of the partners and officers of the internal Boards and Committees
  • Ensure reporting arrangements within the business are maintained and developed as required for business and regulatory changes
  • Provision of impact analysis in relation to regulatory, legal and business development changes
  • Monitoring and consideration of adoption, relevance, content, omissions and impact on supporting documentation
  • Liaison with external advisors and authorities and internal parties as required
  • Propose changes to the content of the governance documentation to reflect impact analysis conclusions
  • Preparation, facilitation or provision of governance training as required following significant changes in regulation or structure etc.
  • Provision of banking account administration services per entity including the set up and maintenance of authorised signatories, mandates, board resolutions
  • Project management / business changes, including acting as a key project team member in governance related issues
  • You will also have responsibility for the organisation of shareholder and Board meetings as well as the preparation of the relevant papers for AGMs, Board and Committee meetings.

Desirable:

  • Experience of working within Financial Services
  • Understanding of the Investment Management industry

Essential:

  • Legal and/or Company Secretarial qualification (ACIS or FCIS) or equivalent
  • Experienced in providing company secretarial services to a high standard
  • Involvement in navigating periods of regulatory change in governance
  • Ability to take ownership for your own and your actions / deliverables
  • Deliver high quality results in advance of deadlines with a proactive and positive approach
  • Highly accurate and poses good attention to detail
  • Capable of navigating through 'unstructured' problems
  • Strong communicator with the ability to listen to others and communicating confidently
  • Self-starter who can stand on their own two feet and can balance multiple tasks
  • Contribute to meetings and with internal and external stakeholders
  • Act of their own initiative by identifying issues and providing solutions
  • Have the credibility to demonstrate technical competence
  • Detail and results orientated with ability to grasp the big picture
  • Technically competent - experience in providing company secretarial services to a high standard
